1. Definitions

• “Client” refers to any individual or organization purchasing or using our SaaS products or remote team services.
• “Services” include all SaaS products, custom development services, and remote team solutions provided by the Company.
• “Agreement” refers to these Terms and Conditions, as amended from time to time.

2. Services

• SaaS Products: The Company offers access to cloud-based software services via subscription. Features and access levels may vary by plan.
• Custom Application Development: We provide tailored software development services based on agreed project milestones.
• Offshore Remote Teams: Clients can engage with skilled remote professionals provided by us, operating under specific contract terms.

3. User Responsibilities

• You agree to use our services only for lawful purposes and in compliance with all applicable laws and regulations.
• You shall not engage in any activity that disrupts or interferes with the performance or security of our systems.
• You are responsible for maintaining the confidentiality of your account credentials and activities under your account.

4. Payment Terms

• All fees for SaaS subscriptions, development services, and remote team solutions are payable in advance, as per the agreed contract or plan.
• No Refunds: All payments are final, and no refunds will be issued under any circumstances.

5. Intellectual Property

• The Company retains all rights, title, and interest in its SaaS products, tools, and developed software unless otherwise agreed in writing.
• Any code, content, or material developed during custom development projects remains the property of the Company until full payment is received.

6. Service Availability and Support

• We aim to provide uninterrupted access to our SaaS products, but downtime may occur due to maintenance or unforeseen issues.
• Offshore remote teams will adhere to agreed working hours and project deadlines, but performance may be impacted by factors outside the Company’s control.

7. Limitation of Liability

• The Company shall not be liable for any indirect, incidental, or consequential damages resulting from the use of our services.
• Our maximum liability shall not exceed the total amount paid by the Client for the services over the past 12 months.

9. Termination

• Either party may terminate the agreement with 30 days’ written notice, subject to the terms outlined in the service contract.
• Upon termination, access to SaaS products will be revoked, and all outstanding payments must be settled.

10. Governing Law and Jurisdiction

• These Terms and Conditions shall be governed by and interpreted in accordance with the laws of Sri Lanka or applicable jurisdiction. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts located in Sri Lanka.

11. Changes to Terms and Conditions

• We reserve the right to update or modify these Terms and Conditions at any time. Changes will be posted on this page with the updated effective date. Continued use of our services constitutes acceptance of the revised terms.
